These Terms and Conditions ("Terms") govern the provision of services by MSCcompany OÜ, a company incorporated under the laws of the Republic of Estonia, registry code [insert], registered address [insert] ("Company", "we", "us", "our").

By using our services, you agree to be bound by these Terms.

1. Scope of Services

The Company provides B2B services including but not limited to: - International transportation by sea and land - Procurement and sourcing of industrial equipment, spare parts, construction machinery, and medical equipment - Supplier coordination and verification - Logistics consulting and supply chain support - Warehousing, consolidation, and delivery services - Customs documentation assistance (without acting as a licensed customs broker unless otherwise agreed)

Services are provided strictly on a business-to-business (B2B) basis.

2. Eligibility and Customers

Our services are available only to legal entities and individual entrepreneurs. By engaging our services, the customer confirms that it is duly registered and legally entitled to conduct business.

We reserve the right to refuse service at our sole discretion if compliance, legal, or reputational risks are identified.

3. Compliance and Restricted Goods

The customer confirms that all goods: - Are legal and permitted for international trade - Are not subject to international sanctions or export restrictions - Are accurately declared with correct documentation and customs codes

We do not transport: - Weapons, ammunition, explosives - Narcotics or controlled substances without proper licenses - Counterfeit or prohibited goods - Goods related to sanctioned countries or entities

4. Customer Due Diligence (KYC) and AML Compliance

MSCcompany OÜ applies customer due diligence and compliance procedures in accordance with: - EU Anti-Money Laundering Directives (AMLD) - Estonian Anti-Money Laundering and Terrorist Financing Prevention Act

Our procedures may include: - Verification of company registration data and beneficial owners (UBO) - Assessment of business activity and transaction purpose - Review of goods, origin, destination, and end-use - Ongoing monitoring of transactions where applicable

Failure to provide requested information or documentation may result in refusal, suspension, or termination of services.

5. Pricing and Payments

Prices are agreed individually based on scope, route, and nature of goods. Unless otherwise stated: - All prices are exclusive of VAT and duties - Payments are made by bank transfer - Invoices are payable within the agreed payment term

Late payments may result in suspension of services.

6. Liability, Risk Allocation, and Insurance

The Company acts as a logistics and trade service provider and does not function as a bank, payment institution, or insurer.

Our liability is limited to the scope defined in the applicable international transport conventions (including CMR, Hague-Visby Rules, or other mandatory regimes), unless otherwise expressly agreed in writing.

Cargo insurance is provided only upon explicit written request by the customer and confirmation by the Company.

7. Force Majeure

The Company shall not be liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, strikes, war, governmental actions, or port congestion.

8. Termination

Either party may terminate cooperation with written notice. Outstanding obligations and payments remain due upon termination.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Estonia. Any disputes shall be resolved in Estonian courts, unless otherwise agreed.
